For the OpenMI Association we had the following text in this type of context:
A resolution for any amendment to the Charter can only be adopted with a majority of at least two/thirds of the valid votes cast in a meeting at which at least two/thirds of the members are present or represented. If two/thirds of the members are not present or represented, a second meeting will be convened and held within four weeks. At this second meeting, a resolution can be adopted regarding the proposal that was discussed at the previous meeting – regardless of the number of members who are present or represented – as long as the resolution is adopted with a majority of at least two/thirds of the valid votes cast.
